RETREAT TERMS AND CONDITIONS

            These RETREAT TERMS AND CONDITIONS (collectively, this “Agreement”) is made as of                                            , by and between Vicki Wilson, doing business as A Woman’s Path (“Facilitator”), and the individual identified below as the “Participant”.  Facilitator and Participant are collectively referred to as the “Parties” or individually as a “Party”.

In consideration of the sums herein agreed to be paid and the terms, conditions and covenants to be performed by the Parties, it is agreed as follows:

1.         Nature of the Agreement.  This Agreement is intended to memorialize the rights and obligations of the Parties for the Retreat.  Participant understands and acknowledges that, in exchange for the Retreat Fee, Facilitator will arrange for Participant to participate in the Retreat, including the itinerary for the Retreat, which itinerary Participant acknowledges receiving.  In her role as the Facilitator, Facilitator arranges the accommodations, meals, and activities through third parties, such as hotels, restaurants, museums, taxi or bus carriers, and other vendors (collectively the “Retreat Vendors”). 

2.         Facilitator’s Services for the Retreat.    Facilitator has researched, organized, and arranged the Retreat in exchange for payment of the Retreat Fee, including (i) selection of the destination, the accommodations, breakfast and dinner meals, certain attractions and excursions, and (ii) ground travel while at the Retreat destination (collectively, the “Services”).  The Services do not include, and Participant acknowledges the obligation to separately arrange, air travel to and from the Retreat destination in a timely manner to participate in arranged accommodations and activities.  Participant is not entitled to a refund of any portion of the Retreat Fee in the event Participant’s air travel is delayed, diverted, or canceled.  Lunch is not included in the Retreat, and Participant shall separately arrange and pay for all lunches.

3.         Retreat Fee. The Retreat Fee constitutes payment in full for the arranged accommodations; one breakfast and one dinner meal per day of the Retreat at the arranged location; and entry fees for all arranged and scheduled activities, tours, and excursions listed on the itinerary. The Retreat Fee does not include, and Participant acknowledges the obligation to separately arrange and pay for, all airfare to get to and from the Retreat destination and other meals.

4.         Cancellation Policy.

4.1       Facilitator’s Right to Cancel Retreat. Participant understands, acknowledges, and agrees that Facilitator may cancel the Retreat in Facilitator’s reasonable discretion in advance of the Retreat.  In the event of such a cancellation, Participant’s sole recourse against Facilitator is for a return of any portion of the Retreat Fee previously paid.  For purposes of this Agreement, “reasonable discretion” includes (without limitation) (i) limited registrants for Retreat, (ii) unavailability or cancellation of desired accommodations and or activities by the third party providing such accommodations or activities, or (iii) other reasons beyond the control of the Facilitator.   In the event of cancellation by Facilitator, Participant will be notified immediately, and Facilitator will refund the Retreat Fee within thirty (30) days of the cancellation.

4.2       Participant’s Right to Cancel.   Participant may cancel her participation in the Retreat at any time by providing written notice of cancellation to Facilitator.  Depending on the time the notice of cancellation is sent and subject to the cancellation policy of the Retreat Vendors, Participant is entitled to a partial return of the Retreat Fee as follows: (i) if Notice of Cancellation is received on or before [INSERT DATE], Participant is entitled to a refund of the Retreat Fee, less $500.00; and (ii) if Notice of Cancellation is received after [INSERT DATE], Facilitator may, in her sole discretion, refund a portion of the Retreat Fee if the cancellation is for reasons beyond the control of the Participant. 

5.         Participation in Retreat Activities.  Participant acknowledges that she has read and understands the itinerary for the Retreat.   By registering for the Retreat, Participant approves of the itinerary and that represents that she is able and willing to participate in all arranged activities. Notwithstanding the foregoing, at the time of the activity, Participant may freely elect not to participate in any activity at her sole discretion, due to medical, spiritual, or other reasons, which need not be disclosed.  In the event Participant elects not to participate in any such activities, Participant is not entitled to a partial refund of the Retreat Fee, unless Participant is separately able to secure a refund from the Retreat Vendor.  Facilitator assumes no responsibility to request or obtain a refund from the Retreat Vendor. 

Facilitator reserves the right to ask any participants (including Participant) to not participate in any Retreat activities if that participant is a substantial disruption to other participants and/or the Facilitator.  In this case, the participant will be advised that her attendance in any Retreat activity is a detriment to the Retreat and that there will be no refund of her Retreat Fees for the particular activities to which the participant is excluded. In such an event, Facilitator is not liable for consequential damages of any kind, including without limitation: any travel, lodging or other expenses, or incidental damages, however, caused.

6.         Disclaimers and Limitation of Liability.

THE RETREAT VENDORS (E.G., CARRIERS, HOTELS AND OTHER SUPPLIERS PROVIDING TRAVEL, ACTIVITIES, EXCURSIONS OR OTHER SERVICES ON ANY RETREAT) ARE NOT AGENTS OR EMPLOYEES OF THE FACILITATOR. FACILITATOR MERELY ARRANGES SUCH ACCOMODATIONS AND ACTIVITES WITH SUCH RETREAT VENDORS.  AS SUCH, FACILITATOR IS NOT LIABLE FOR THE ACTS, ERRORS, OMISSIONS, REPRESENTATIONS, WARRANTIES, BREACHES OR NEGLIGENCE OF ANY SUCH RETREAT VENDOR OR FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING THEREFROM. FACILITATOR HAS NO LIABILITY AND WILL MAKE NO REFUND IN THE EVENT OF ANY DELAY, CANCELLATION, OVERBOOKING, STRIKE, FORCE MAJEURE OR OTHER CAUSES BEYOND FACILITATOR’S CONTROL, AND FACILITATOR HAS NO RESPONSIBILITY FOR ANY ADDITIONAL EXPENSE, OMISSIONS, DELAYS, RE-ROUTING OR ACTS OF ANY GOVERNMENT OR AUTHORITY.

IN NO EVENT SHALL FACILITATOR BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF, OR IN ANY WAY CONNECTED WITH, THE PARTICIPANT’S PARTICIPATION IN THE RETREAT, INCLUDING ANY ACTIVITIES, OR FOR ANY ACTS OR OMISSION OF ANY THIRD PARTY DURING THE RETREAT, INCLUDING ANY OTHER PARTICIPANTS OR RETREAT VENDORS, WHETHER BASED ON A THEORY OF NEGLIGENCE, CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF FACILITATOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  FACILITATOR IS MERELY ACTING AS AN ARRANGER OF TRAVEL ACCOMODATIONS AND ACTIVITIES AND DISCLAIMS ANY AND ALL LIABILITIES FOR THE NEGLIGENT, INTENTIONAL OR CRIMINAL ACTS OR OMISSIONS OF OTHERS. 

IF, DESPITE THE LIMITATION ABOVE, FACILITATOR IS FOUND LIABLE FOR ANY LOSS OR DAMAGE WHICH ARISES OUT OF OR IN ANY WAY CONNECTED WITH ANY OF THE OCCURRENCES DESCRIBED ABOVE, THEN FACILITATOR’S LIABILITY WILL IN NO EVENT EXCEED, IN THE AGGREGATE, THE GREATER OF (A) THE RETREAT FEES PARTICIPANT PAID TO FACILITATOR, OR (B) ONE-HUNDRED DOLLARS (US$100.00).

THE LIMITATION OF LIABILITY REFLECTS THE ALLOCATION OF RISK BETWEEN THE PARTIES. THE LIMITATIONS SPECIFIED IN THIS SECTION WILL SURVIVE AND APPLY EVEN IF ANY LIMITED REMEDY SPECIFIED IN THESE TERMS IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.        

7.         Travel Advice and Vaccinations. U.S. Citizens should refer to the travel advice posted by the U.S. Department of State at travel.state.gov for all the countries you intend to visit. Vaccinations may be required for some or all of the places you are intending to visit. It is your responsibility to ensure that you have arranged all necessary vaccinations for your itinerary.

8.         Passport, Visa and Immigration Requirements. It is Participant’s responsibility to fulfill the passport, visa and other immigration requirements applicable to the Retreat and the itinerary. Participant should confirm these with the relevant embassies and/or consulates. Facilitator does not accept any responsibility in the case of Participant being unable to travel due to not complying with any such requirements.

9.         Insurance. Travel insurance is a vital part of Participant’s arrangements and Participant understands that travel insurance is a mandatory element of the Retreat. Facilitator may be able to arrange travel insurance to be provided to Participant, furnish Participant a quote, and answer any inquires Participant may have regarding insurance.           

10.       Relationship of Parties. Facilitator is acting as an independent contractor and no joint venture, partnership or employment relationship exists between Participant and Facilitators as a result of this Agreement.

11.       Dispute.  Any dispute arising out of this Agreement shall be governed by the law of the State of California and brought in the Superior Court of California in and for the County of Humboldt.   

12.       Notices. Notices shall be sent by email to the Participant’s email address listed above and to Facilitator at [INSERT EMAIL].       

13.       Complete Agreement; Modification. This Agreement represents the complete understanding of the Parties with respect to the provision of the Services by Facilitator. It is not to be amended after the date hereof except by an instrument in writing signed by the Parties.

            


Important to Note:

A Woman’s Path retreats are designed to give women a safe space, support, and tools necessary to create lives of meaning, peace, and joy.  While the retreats are often therapeutic, they are not meant to be therapy.  If you are currently under the care of a mental health professional, please ask their advice before attending a retreat.

A Woman’s Path reserves the right to ask any participants to leave a retreat if that participant is unwilling or unable to participate fully in a program; or if that participant is a substantial disruption to other participants and/or the facilitator.  In this case, the participant will be advised that their attendance is a detriment to the program and that there will be no refund of their retreat fees or consequential damages of any kind, including without limitation: any travel, lodging or other expenses, or incidental damages, however, caused.
